These Terms and Conditions govern the use of the Nexus Automate website (nexus-automate.com) and the Nexus Automate AI software platform. By accessing or using our website or software, you agree to be bound by these terms.
Nexus Automate is in the process of incorporation as a Sociedad Limitada (SL) under Spanish law.
Nexus Automate grants licensees a non-exclusive, non-transferable, revocable license to access and use the Nexus Automate AI software platform for the duration of their active license. The software remains the intellectual property of Nexus Automate at all times.
You may use the software solely for your internal business operations in connection with your e-commerce activities. You may not:
Access to the Nexus Automate software is provided via annual software licenses as described on our licensing page. Licenses renew automatically unless cancelled before the renewal date. All prices are in euros and exclusive of applicable taxes unless stated otherwise.
All licenses include a 30-day evaluation period. During this period, you have access to the full software functionality of your selected license tier. No payment is required to start an evaluation. If you do not purchase a license at the end of the evaluation, your access will be suspended.
All intellectual property rights in the Nexus Automate software, including but not limited to the machine learning models, algorithms, source code, documentation, and user interface, are and remain the exclusive property of Nexus Automate. Your license grants the right to use the software, not ownership of any intellectual property.
Your use of the software is also governed by our Privacy Policy. You retain ownership of all data you submit to the platform. Nexus Automate processes your data solely to provide the software's functionality and does not sell or share customer data with third parties for their own purposes.
We aim to maintain continuous availability of the software but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where possible. Technical support is provided according to the terms of your license tier.
To the maximum extent permitted by applicable law, Nexus Automate's total liability for any claims arising from or related to the software shall not exceed the total fees paid by you in the 12 months preceding the claim. Nexus Automate shall not be liable for indirect, incidental, special, or consequential damages.
Either party may terminate the license at any time. Upon termination, your license to use the software ceases immediately. Nexus Automate may terminate your access if you breach these terms, with or without notice.
These terms are governed by and construed in accordance with the laws of Spain. Any disputes shall be submitted to the courts of Spain.
We reserve the right to modify these terms at any time. Material changes will be communicated via email or through the platform. Continued use of the software after changes constitutes acceptance of the updated terms.
